Exus combines comprehensive financial, technical, and operational know-how to provide turn-key investment and asset management solutions to its investors and clients. We are a growing, global partnership with offices in Europe, North America, and South America.
Exus is seeking a M&A Associate that will work closely with the development, accounting, and commercial groups, and will liaise with international colleagues to support the company's wind, solar, and battery acquisitions/divestments and developments, financing activities, and other analytical projects.
Please note: this is an fully onsite role with reasonable flexibility in our Downtown Pittsburgh office.
Key Responsibilities:
- Create and maintain thorough financial modeling and valuation to assess the feasibility and attractiveness of potential transactions.
- Responsible for evaluating projects, negotiating commercial terms, and presenting findings to the board and investment committee to obtain financing.
- Participate in due diligence processes, including reviewing contracts, financial statements, and regulatory compliance.
- Perform sensitivity analysis on financial models to determine key drivers, optimal financing structures and financial rates of return, and provide narrative analysis on financial models.
- Assist in the negotiation and structuring of M&A transactions, ensuring alignment with company objectives.
- Assist in the negotiation and structuring or project financing and tax equity financing transactions.
- Manage deal timelines and budgets, ensuring efficient execution of transactions.
- Participate in meetings and clearly articulate modeling results to internal management and external parties, such as banks and auditors.
- Prepare investment, financing and other presentations for the board and investment committee.
- Responsible for managing simultaneous projects and collaborate with internal and external management, outside advisors, customers, and suppliers to translate project agreements into highly iterative financial models.
Qualifications:
- Bachelor’s degree in finance, economics, engineering, or a related field with a strong academic record.
- 2+ years of experience in M&A, corporate finance, or a relevant field. Financial modeling and investment presentations preferred.
- Professional background in energy or infrastructure sectors preferred.
- High level of competence with Excel, PowerPoint and Word.
- Experience managing simultaneous activities under time deadlines.
- Possesses strong analytical and communications skills, a keen attention to detail and appreciates the importance of objective, fact-based analysis.
