Job Responsibilities


  • Assist, as appropriate, with due diligence investigations in transactions (review of files, corporate documents, reports, agreements, etc.), including coordinating internal due diligence teams, organizing, and administering virtual due diligence data rooms and coordinating and assisting C-Level team and external counsel with any legal matters
  • Coordinate with various departments in establishing and implementing the process and procedures for the integration of newly acquired contracts, agreements, licenses, etc.
  • Responsible for renewing and maintaining company licensing as well as drafting, filing and managing various business entity documents for corporations, LLCs and partnerships with state agencies
  • Maintain and administer the legal department contract management database, ensuring appropriate contract workflow
  • Assist, as appropriate, with initial contract review, drafting and revisions
  • Develop initiatives aimed at streamlining legal processes and policies, leading efforts to make the general contract review processes more efficient and ensuring that processes are used consistently
  • Review claims notices and disputes provided by claimants, insurance adjusters, state organizations and attorneys; ensuring that claim dispute files are complete and accurate; maintaining regular contact with claimants, insureds, insurance adjusters, attorneys, etc. regarding outstanding claims; working closely with consultants, experts, business leaders, and outside counsel to resolve claim disputes in an efficient and cost-effective manner


Qualifications


  • Bachelor's degree OR (a) Associate of Arts degree and not less than five years of in-house training as a Paralegal Assistant or Paralegal Intern, or (b) eight years of corporate law-related experience under the supervision of an attorney or Senior Paralegal, demonstrating a superior command of the skills necessary to be a Paralegal
  • AND, in addition to (a) or (b), Completion of an educational program for Paralegals that has been approved by the American Bar Association ("ABA") or offered by an accredited institution which is in substantial compliance with ABA guidelines for the approval of Paralegal programs is preferred
  • The ability to communicate with stakeholders and work closely with them to determine acceptable solutions
  • Extensive experience conducting research and providing counsel and guidance regarding complex legal issues
  • Excellent planning, organizational, and time management skills
  • A history of leading and supporting successful projects
  • Proficiency in Microsoft Office Suite
  • Insurance or Automotive Warranty industry experience is a plus
