About the team:

The firm’s Corporate team assists public and privately held companies in operating, growing their businesses, and gaining a competitive advantage. Their corporate attorneys negotiate, structure, and document a broad range of commercial transactional agreements. They advise and assist the firm’s clients on a wide range of corporate compliance and governance issues, from day-to-day practices and policies to mergers, acquisitions, hostile takeovers, recapitalizations, corporate restructurings, and cybersecurity issues.


Some of the role’s responsibilities include:

  • Coordinate with in-house counsel, firm colleagues, and other professionals to address day-to-day corporate matters and to advance complex transactions.
  • Advise on matters related to federal income tax aspects of domestic and cross-border mergers and acquisitions, the formation and taxation of joint ventures and partnerships, debt and equity financings, restructurings of corporations and partnerships, and the acquisition, development and financing of business interests.


Qualifications:

  • At least 3 years of transactional tax advising experience.
  • Proven track record of advising on corporate and partnership tax structuring and planning for M&A transactions.
  • LLM, CPA, or tax specialty training is preferred.
  • Excellent oral and written communication skills.
  • Admitted to practice in Colorado or able to be waived in.
  • J.D. from an ABA accredited school.
