Job Summary:

Under the supervision of Vice President, General Counsel and Corporate Secretary, the Senior Paralegal provides a wide range of legal services, ranging from reviewing and drafting contracts to conducting legal research, filing annual reports, administering legal and compliance training, and providing litigation support. The Senior Paralegal is expected to completing all work with a high level of workmanship and quality and contribute to a respectful and collaborative work environment.


Job Duties:

  • Review, research, edit and finalize NDAs for new and current customers and vendors and coordinate signatures
  • Customer and vendor business contracts – review, edit, finalize, and/or prepare for General Counsel review, and coordinate signatures
  • Research laws and regulations as needed
  • Manage corporate governance related to state registered agent services and annual report filings
  • Manage company’s legal and compliance training – for both new employees upon hire and 2-year rotation of classes for all employees
  • Manage contract database
  • Trademark/patent renewals and support - research as needed, tracking and sorting invoices for posting to BUs and other Ushio companies and as otherwise assigned by General Counsel
  • Track legal vendor invoice fees and payments
  • Track, manage, and assist outside counsel with insurance recoveries
  • Assist outside counsel with claims and litigation issues; prepare internal reports for General Counsel
  • Assist with customer compliance certifications
  • Organize and manage department files, records, and correspondence
  • Provide litigation support - document production, coordinating with BUs and employees
  • Respond to requests for Certificates of Insurance – additional insured status for customers and sales and marketing events
  • Support General Counsel with administrative matters


Qualifications:

  • Contracts editing and management
  • Superior written and verbal communication skills
  • Minimum 10 years of significant in-house corporate transactional paralegal experience
  • Strong ability to deal with confidential information on a daily basis
  • Ability to deal with multiple tasks simultaneously
  • Proficiency in Microsoft Word & Excel
  • Positive and proactive problem solving skills and attention to detail
