The successful candidate will have at least 4 years' experience in a multi-jurisdictional company, specifically across Canada and the USA. The successful candidate has a demonstrated ability in sustained attention to detail, a focus on accuracy in their work product, and agility in adapting to a changing work environment

Responsibilities:

  • Perform a variety of legal and administrative duties in the area of Corporate law, assisting with corporate and corporate tax related matters, and be tasked to draft corporate resolutions, notices, agreements and other ancillary documents in connection with complex transactions.
  • Be responsible for the formation of new corporate entities and implementation of corporate reorganizations (e.g. amalgamations, continuances, dissolutions).
  • Support and/or perform corporate secretarial activities relating to all legal entities including minute books, resolutions, authorized signatories and powers of attorney.
  • Assist in preparing or prepare director and shareholder meeting resolutions and materials.
  • Conduct relevant legal research and other related duties as required by legal team members.
  • Create and implement corporate compliance procedures
  • Prepare the documentation ahead of, and support, the annual shareholders' meetings (Annual Information Form and Management Proxy Circular)
  • Reviewing and drafting a variety of contracts to accurately reflect business requirements; recommend alternatives, additions or changes, when necessary, to conform with internal policies, minimize risk, and achieve proper framing of the business needs.
  • Analyze corporate documents and corporate records to ensure compliance with governing statutes and make recommendations on relevancy and remedial actions.
  • Provide contract support for standard corporate agreements, employment agreements, non-disclosures, marketing and independent contractor agreements
  • Prepare legal documents related to the development and implementation of corporate policies, procedures and templates
  • Provide negotiations and interpretation support for commercial & corporate agreements of various types
  • Updating and maintaining corporate records and minute books and ensuring documents comply with the applicable legislation.
  • Submit claims to small claims court to retrieve delinquent funds/ or ensure timely dispute resolution
  • Work with senior management to provide support for documents and activities related to corporate restructuring, etc.

Requirements

  • Law Clerk/Paralegal or Legal Assistant Diploma/Certificate
  • P1 license with the Law Society of Ontario is an asset.
  • 4+ years of corporate clerking or paralegal experience is required
  • Strong knowledge base in corporate & commercial law
  • Ability to work effectively independently and with others
  • Ability to prioritize and handle many competing demands in a fast-paced, high-volume environment
