Our client, a nonprofit corporation manages consortia for the government. Their mission is to accelerate the deployment of technologies to the military and the nation, while also reducing government procurement costs.


As Associate General Counsel, you will play a vital role by providing expert legal advice and strategic guidance to the Vice President & General Counsel, executive leadership, and corporate staff on a broad range of matters, including contract law, administrative and regulatory compliance, litigation, bid and proposals, protests, audits, ethics, conflict of interest, commercial transactions, risk mitigation and legislative initiatives.


*Federal/Government Contracts experience is highly preferred.


Responsibilities:

  • Draft, review and negotiate contracts, subcontracts, Other Transaction Agreements and Sub-agreements, teaming and joint venture agreements, claims, audit and regulatory responses.
  • Maintain cognizance of relevant federal procurement laws and regulations, pending changes in legislation, and industry trends impacting the company's operations.
  • Identify legal and regulatory risks facing the company and develop strategies to mitigate such risks, including the implementation of effective risk management tools and processes.
  • Assist the Vice President & General Counsel in the preparation and review of board materials, including agendas, resolutions and minutes.
  • Collaborate with internal stakeholders, including contracts administration, finance and project management teams to build and improve contract templates and provide training to staff and consortium members on contracting process and best practices.
  • Ensure timely and accurate filing of corporate documents, including annual reports, disclosures, and other regulatory filings.
  • Build and maintain positive relationships with key internal and external stakeholders, including senior executives, government agencies, and consortia member companies and institutions.


Qualifications:

  • Juris Doctorate degree from an accredited law school, a member in good standing of a state (or DC) bar and a minimum of 10 years of relevant experience.
  • Experience with all Federal government research, development and production contract or agreement types, including fixed-price, cost-reimbursement, and time and material.
  • Experience in favorably resolving disputes with the government relating to the competition, award, execution, modification, breach or wrongful termination of contracts or agreements through negotiation, mediation or alternative dispute resolution.
  • Experience with administering Public/Private Partnerships, Enhanced Use Leases, Intergovernmental Support Agreements, Exchange Agreements or federal construction contracts would be a definite plus.



Knowledge, Skills and Abilities:


  • Outstanding writing ability and top academic credentials are essential.
  • Excellent legal and legislative research skills and the ability to prepare and present clear, and concise findings.
  • Knowledge of Intellectual Property and Data Rights provisions; OPSEC, ITARS and cybersecurity compliance; and other areas of law and policy relevant to the company's business operations.
  • Demonstrated problem-solving skills, with the ability to think critically and provide creative and timely solutions to complex legal issues.
  • Strong analytical skills with demonstrated ability to assess the financial components and legal implications of new business ventures and potential M&A opportunities.
  • Ability to embrace change, learn quickly, and thrive in a dynamic corporate environment
  • Motivated self-starter capable of working independently and on a collaborative team.
  • Ability to multitask in a fast-paced environment, prioritize workload, and meet compressed deadlines.
  • Proficiency in relevant software, tools, and systems used in the corporate environment, including MS Office Suite (Outlook, Word, PowerPoint, and Excel)
