A global law firm is seeking a Capital Markets Associate to join the leading Capital Markets & Securities Practice Group in Pittsburgh.

Experience:

  • The ideal candidate will have 4+ years of experience in corporate and securities law, with experience in public company securities offerings and SEC reporting compliance required.
  • Associates will work closely with experienced lawyers who will provide active mentoring and opportunities to assume increasing levels of responsibility and client contact.
  • Applicants must be self-starters who possess the ability to work independently and as part of a team.
  • The candidate will be working with the corporate practice’s growing capital markets clients, and should be experienced with sophisticated finance transactions, including public securities offerings, as well as general corporate and corporate governance matters relating to public companies.
  • Associates must be licensed to practice law in Pennsylvania and be in good standing.


Responsibilities:

  • The practice group provides a full range of services to public and private companies, private equity funds and financial institutions.
  • The practice group represents issuers, investment banks, sponsors, placement agents, investors, and investment groups, as well as underwriters in public offerings and other securities-based transactions.
  • The associate will be advising on reporting requirements, leading due diligence teams, managing specialists, and drafting documents.
  • Advising on business development company (BDC) matters, including ongoing operational and reporting matters.
  • Preparing annual filings for submission to the SEC and responding to examinations.
  • Researching and preparing memoranda regarding the regulation and operation of private investment funds.
  • The team has counseled and represented industries such as life sciences, technology, telecommunications, energy, software, financial services, and manufacturing.
