Contracts Analyst

Purpose: Responsible for the negotiation, processing, and administration of complex direct sales contracts and license agreements, and ensuring these contracts are administered in compliance with the company's processes, policies and procedures.
Duties include:
Reviews and/or drafts, negotiates, and manages company and/or client generated complex, long-form contracts (new and existing) pertaining to the company's sales operations
Reviews and negotiates all types of government agreements, orders, purchase orders and representations/certifications, including government subcontractor agreements
Reviews and edits terms and conditions contained within new vendor applications and requests for proposals.
Recommends appropriate contracting schema to Sales depending on the complexity of the client partnership.
Reviews contracts and partners with internal resources/stakeholders prior to client review to ensure they follow established company processes, policies and procedures.
During contract negotiation process, identifies and partners with Sales on changes to key business terms relating to price, rescheduling/cancellation and other key operational terms.
Identifies when contracts have legal implications and partners with Contracts Manager and Legal to secure appropriate changes.
Responds to contract requests within the current agreed-upon time frame- parameters for each agreement type, in order to meet internal efficiency deadlines.
Monitors the return of signed complex, long-form contracts according to deadlines and updates Sales and Project Managers through contract negotiation process.
Manages and updates the master services/complex agreements log on a quarterly basis.
Provides guidance and support to other team members with contract interpretation and clarification, and provides vacation back-up.
Maintains up-to-date knowledge of contract drafting and negotiation strategies.
Performs other duties as assigned by management.
Education and Experience
Ability to pay attention to detail and manage multiple activities simultaneously
Ability to know when to be flexible with contract requirements
Ability to understand, analyze, and interpret contract terms and conditions
Experience in drafting and executing contracts
Knowledgeable user of MS Office.
Adaptable, with ability to make quick decisions
Effective reading and writing skills
Bachelor's degree in business or related area with five to seven years experience in contract administration or related business field or equivalent combination.
Experience working in a marketing/sales or training environment a plus.
Previous knowledge of sales process and contract administration preferred.
Experience working with a Contract Lifecycle Management system preferred.
