The firm is, a well-established and highly regarded boutique corporate law firm headquartered in Raleigh, NC, is seeking a highly skilled and experienced Corporate Associate with four to seven years of relevant corporate experience to join our team.

Associates are a vital part of the firm, engaging in hands-on drafting, negotiating, and day-to-day client communication on a daily basis. In addition to working with amazing colleagues, in this position you’ll assist clients who are industry leaders (particularly in the tech and biotech sectors) and are working on interesting and impactful technologies.

Our ideal candidate will have a strong background in corporate law, with significant experience in handling complex M&A transactions, venture capital investments, and other related corporate matters.

Our practice is dynamic, and you’ll gain a ton of experience, quickly. Here’s what you’ll do on any given day at Firm:

  • Assist with (or lead) M&A transactions and venture financings, including due diligence, negotiation, drafting, and drafting and editing transaction documents.
  • Provide strategic legal counsel to clients on corporate governance, compliance, and general corporate matters.
  • Work as a key member of the team, with the goal of delivering high-quality, responsive, and efficient legal services to clients.
  • Mentor and supervise junior team members and paralegals and delegate tasks effectively to the team.
  • Prepare pro formats and waterfalls for financing and exit transactions and discuss these models with our clients.


Qualifications:

  • JD from an accredited, high caliber law school.
  • 4-7 years of experience as a corporate attorney with a focus on financings, M&A, and counseling startups and emerging growth companies.
  • Strong academic and professional credentials.
  • Commitment to responsiveness and client service.
  • Exceptional communication and negotiation skills.
  • Demonstrated ability to manage complex transactions.
  • Strong drafting, negotiation, and analytical skills.
  • Ability to manage multiple projects and deadlines simultaneously.
  • Proven ability to work collaboratively in a team-oriented environment and also work independently and pro-actively without micromanagement.
  • Commitment to maintaining high ethical standards and professional integrity.

Bonus Structure

  • 5% discretionary (based on a variety of factors including, but not limited to, individual and firm performance)
  • 1600-1700 billed hours- additional 4% bonus (pro-rated if the full 1700 isn’t achieved)
  • 1700-1800 billed hours- - additional 5% bonus (pro-rated if the full 1800 isn’t achieved)
  • 1800-1900 billed hours- - additional 6% bonus (pro-rated if the full 1900 isn’t achieved)
  • 1900-2000 billed hours- additional 7%+ (pro-rated)
  • > 2000 hours- up to an additional 7% per 100 hours (pro-rated)
