Acquisition Finance Attorney

A multi-specialty mid-sized law firm headquartered in Virginia with a regional and national presence is seeking an experienced Leveraged and Acquisition Finance Attorney to join its sophisticated and growing practice. As part of a dynamic transactional team, you will have the opportunity to work on a wide range of financing and investment transactions, representing lenders, borrowers, and sponsors in complex leveraged and acquisition finance matters.


Responsibilities:

  • Handle a variety of financing and investment transactions, including acquisition finance and private equity-backed transactions.
  • Represent borrowers, banks, and private credit lenders in commercial senior secured financings and mezzanine debt issuances.
  • Counsel clients on credit agreements, security agreements, guaranty agreements, distressed credit situations, and UCC Article 9 matters.


Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • 2-4 years of experience in leveraged and acquisition finance transactions.
  • Counseling expertise in finance and investment matters.
  • General corporate law experience is a plus, but not required.
  • Experience representing borrowers, banks, and private credit lenders preferred.
  • Strong understanding of commercial senior secured financings and mezzanine debt issuances.
  • Knowledge of credit agreements, security agreements, guaranty agreements, distressed credit situations, and UCC Article 9 matters.
