Job Purpose:


As a Corporate Attorney, you will play a key part in advising on a range of intricate legal issues, providing daily support to cross-functional teams, and driving the company's growth through the creation and negotiation of contracts with vendors, customers, channel partners, and other third parties. Responsibilities include contract review, sub-contract agreements, MSA's, NDA's, software and warehouse contracts, leases, and insurance. This position will report directly to the Chief Operating Officer.


Essential Functions:


This is a deputy position that reports to the General Counsel and Chief Legal Officer in the support of mergers and acquisitions, legal affairs and strategic initiatives across the following functions:


  • Draft, review, and negotiate a variety of commercial agreements, including contracts, terms of use, partnerships, non-disclosure agreements, and other commercial or licensing agreements.
  • Work closely and collaboratively with cross-functional executives to identify and provide strategic counsel on legal issues impacting Xylem Tree Experts and Kendall Vegetation Services business and customers.
  • Support the development and maintenance of legal resources and materials to aid business executives.
  • Establish internal process for legal review and approval of all contracts and commercial agreements
  • Monitor evolving laws that may impact Xylem Tree Experts and Kendall Vegetation Services Federal/State rebate eligibility and assist with operationalizing and implementing compliant solutions where applicable.
  • Work in partnership with members of the Xylem Tree Experts and Kendall Vegetation Services Executive team and leverage internal subject matter expertise and integrate it into applicable products, services, and commercial matters.




Competencies:


  • A J.D. from an ABA-accredited U.S. law school, and membership in good standing to at least one state bar.
  • Minimum of 5+ years of experience practicing corporate law, with a focus on M&A and sophisticated transactions.
  • Strong business and legal acumen with the ability to: quickly identify legal and business issues; balance risks; and devise and articulate creative and practical solutions to various internal and external audiences in a time-sensitive dynamic and fast-paced global environment.
  • Excellent communication skills (both written and verbal) and drafting skills (contracts, memoranda, etc.) with an emphasis on attention to relevant detail.
  • Proficient understanding of business sensitivities and confidentiality.
  • Ability to work independently, manage competing priorities effectively, and meet deadlines in a fast-paced environment.
  • Commitment to delivering high-quality legal services with attention to detail.
  • Experience in a midsize or large law firm preferred.





Required education and experience:


  • Bachelor's Degree or higher.
  • Law degree from an accredited law school.
  • Candidates must be licensed to practice in the United States.
