IN HOUSE COUNSEL

Prodigy Properties is currently seeking a General Counsel role responsible for leading all legal aspects of the company. The General Counsel role will serve a wide array of functions including overseeing all transactional matters related to commercial real estate and business contracts, representing the company in judicial appointments, as well as supervising corporate governance. Applicants for this role should have a valid bar admission, contract law experience, and understanding of foreclosure proceedings and court appointed receivership. 


Responsibilities

  •  General oversight of all legal matters, both on external engagements and internal operations.
  •  Negotiate on behalf of the company
  • Draft, review, and negotiate a wide range of commercial contracts and agreements, such as purchase agreements, leases, operating agreements, construction contracts, affidavits, etc.
  •  Review outside counsel motions, pleadings and other court documents
  • Advise on corporate governance and legal structures
  • Conduct legal research and analysis on complex legal issues pertaining to commercial real estate, licensing laws, corporate governance and regulatory compliance
  • Collaborate with internal teams, including finance, operations and management to ensure legal compliance
  • Draft and file court reports on behalf of the receivership
  • Assist in negotiating and resolving legal disputes
  • Remain informed on changes in real estate and foreclosure laws and regulations relevant to the organization’s operations
  • Collaborate with outside counsel and internal team members to ensure consistent and effective oversight


Qualifications

  • Highly proficient in Microsoft Office and Adobe
  • Must be able to understand, analyze, and process data efficiently
  • Strong interpersonal skills
  • Proven ability to comply with operational policies and procedures, codes, and regulations
  • Exceptional organizational, problem-solving, and interpersonal skills
  • Strong relationship management, negotiation, conflict resolution and problem-solving skills
  • Understanding of real estate and foreclosure process

Requirements

  • Juris Doctorate (J.D.) degree from accredited law school
  • Admission to the Ohio State Bar
  • 3+ years of directly related experience in real estate law, contract law, or foreclosure.
  • Proficient in legal drafting and writing
