Role Overview

The Position of Contract Specialist Involves:
  • Leading the review, drafting, and negotiation of various contracts and transactional documents.
  • Engaging in meetings with internal management, personnel, suppliers, and vendors.
  • Demonstrating the necessary professional expertise, experience, and judgement to handle a diverse range of complex transactions independently.
Key Responsibilities

Responsibilities Include:

Pre-contract Stage:
  • Understanding business goals, technical requirements, and contract needs through internal meetings.
  • Participation in RFx processes and negotiation of NDAs.
  • Conducting risk assessments and guiding for optimal contractual outcomes.
Contract Stage:
  • Leading negotiation and review of contracts and advising on risks and alternatives.
  • Ensuring compliance with legal and contractual obligations.
  • Handling post-contract activities such as change orders and vendor management.
General:
  • Developing and updating contract templates.
  • Implementing internal transaction procedures.
  • Overseeing intellectual property filings and insurance processes.
  • Maintaining the contract administration database.
  • Collaborating with cross-functional teams within the organization.
Qualifications/Expertise

Skills Required:

Personal:
  • Excellent analytical, communication, and interpersonal skills.
  • Demonstrated sense of responsibility, conscientiousness, and integrity.
Professional:
  • In-depth knowledge and experience in transactional law.
  • Ability to handle various legal matters and transactions effectively.
  • Proficient in drafting, negotiation, and business judgment.
  • Strong organizational and project management skills.
Technical:
  • Proficiency in MS Word, Excel, and Outlook.
Qualifications/Experience

Education:
  • Bachelor's degree in a related field.
  • Legal education (J.D.) or equivalent in paralegal studies.
Experience:
  • Extensive experience in transactional law within a legal firm, corporate, or government setting.
  • Relevant business experience alongside legal expertise is a plus.
Location: The Contract Specialist role is based at the Northfield, IL headquarters, requiring proximity to the office.
