Job Description

Primary Function of Position:

The Sr. Contract Negotiator is a primary driver in Intuitive’s commercial contracting function. As the central communicator in the contract lifecycle, the Sr. Contract Negotiator will liaise with Intuitive’s salesforce and leadership, internal management, 10+ other departments across the organization, and end customers to ensure legal and regulatory compliance and mitigate risk. The Sr. Contract Negotiator performs a full spectrum of contracts-related tasks—including legal drafting, negotiating, and ensuring the final processing of commercial contracts—at a high professional level in a high-pressure environment under tight deadlines. The Sr. Contract Negotiator takes a subject matter expert role in legal/contracts project initiatives and contributes to the department’s and team’s development by mentoring junior team members.

Responsibilities:

  1. Contract Drafting and Negotiation.  Prepare, review, and negotiate a high-volume and variety of highly-complex contracts, including commercial agreements (including sales and leases) for the placement of Intuitive’s products and services, as well as miscellaneous legal agreements connected to Intuitive’s commercial activities. Act as legal lead for digital, data and privacy agreements, along with Business Associate Agreements as required under HIPAA.
  2. Dispute Resolution:  Assist in the resolution of contract disputes and lead discussions aimed at finding solutions with administrators, purchasing personnel, outside-counsel and executives representing customers as well as with financing institutions and other stakeholders involved in commercial processes.
  3. Legal Analysis.  Conduct legal analysis and provide guidance on contractual matters, regulatory compliance, government regulations, risk assessment and mitigation, revenue recognition, and other legal issues related to the medical device industry. Represent department as subject matter expert for complex legal/contracting issues and projects as they arise.
  4. Legal Research:  Stay updated on legal and regulatory developments in the medical device industry and provide recommendations and guidance based on industry best practices (including HIPAA) and emerging trends.
  5. Legal Representation. Collaborate with internal stakeholders, including business development, product managers, and executives to understand business objectives, provide legal advice, and negotiate favorable terms. Represent Intuitive Surgical with external parties, including customers, regulators, and affiliates.
  6. Risk Management:  Identify, assess, and provide support on potential legal risks in contracts. Propose strategies and advice to mitigate them effectively, managing risks and ensuring compliance with applicable laws, regulations, and company policies.
  7. Compliance and Ethics:  Uphold ethical standards and ensure compliance with all applicable laws, regulations, and company policies in contract negotiations and daily activities.
  8. Cross-functional Collaboration:  Work closely with cross-functional teams, including regulatory affairs, service department, field service, manufacturing, and marketing, to ensure alignment between legal requirements and business objectives. Review and assess new products prior to commercial launch and draft/develop new legal/acquisition agreements in support of those new products.
  9.  Contract Lifecycle Management:  Manage the entire contract lifecycle, from drafting to execution and termination, ensuring timely renewal, amendments, and compliance. Work closely with Intuitive Surgical’s Legal, Sales, Customer Service, Accounting, and Logistics teams on the system sales process and with Marketing, Clinical Affairs, and Market Access on further contractual activities.        
  10. Departmental Support.  Supervise, mentor, and assist with training and developing junior members of Contracts team. Maintain and manage contractual information in Intuitive Surgical’s contract administration databases. Participate in process and policy development regarding commercial contracts.
