SUMMARY:

The position includes counseling on corporate and commercial issues and working with NJ TRANSIT management and staff.

ROLES & RESPONSIBILITIES
:

  • Review, analyze and provide counsel on procurements for competitively bid contracts, including but not limited to Requests for Proposals, Invitations for Bids, Requests for Qualifications and Requests for Expressions of Interest.
  • Review, analyze and counsel on responses to procurements for competitively bid contracts.
  • Review, negotiate, draft and provide counsel in connection with commercial contracts, related to property acquisitions, purchase of goods and services, marketing, construction, transportation, insurance, environmental and other issues.
  • Review and edit pleadings, discovery requests, motions, briefs in connection with litigations involving NJ TRANSIT.
  • Retain and work with Outside Counsel in connection complex commercial and corporate litigations.
  • Work with NJ TRANSIT management and staff in connection with NJ TRANSIT's economic development, sustainability and infrastructure and its bus and rail transportation operations
  • Communicate with private businesses and local, state and federal agencies in connection with various matters, including but not limited to procurement, contracting, financing, state and federal funding, construction and other matters.
  • Board Issues: interpret by-laws, draft board materials and provide legal advice to the Board Office.
  • Capital Issues: develop strategies, provide legal advice, negotiate and draft agreements relating to capital projects.
  • Review and revise NJ TRANSIT's corporate contracts and other documents and policies and procedures.
  • Work with OPRA staff and business units regarding court notices, subpoenas, discovery requests and OPRA requests.
  • This position supervises paralegal and support staff.

EDUCATION, EXPERIENCE & QUALIFICATIONS
:

  • Juris Doctor (JD) and 5+ years with corporate and commercial law.
  • New Jersey Law License required.

KNOWLEDGE & SKILLS:

  • Commercial and corporate law and litigation
  • In-House and large law firm experience
  • Skills: Inter-Personal Communication - Research and Writing - Business Acumen – Ethics
  • Experience in the transportation industry, regulated industries and/or state agencies a plus.
