Independent Contractor Paralegal (Contracts + Data)

About us

We work with universities across three agreement types: Consulting, Student Coaching, and SaaS/Data. Some institutions sign our paper; others return heavy redlines. We need an experienced contract paralegal to own redlines, reconcile DSAs with SaaS MSAs, and keep templates/versions clean—so executives aren't handling administrative work.

Engagement

Independent contractor with appropriate insurance, up to 30 hours per month (cap). Remote; U.S. business hours overlap.

Compensation

  • $55–$85 per hour, DOE, as a 1099 independent contractor.
  • Monthly cap: 30 hours (approx. $1,650–$2,550/mo).
  • Pre-approved premiums (optional): +$10/hr for security questionnaires, DPAs, and BAAs; +25% for under-24-hour rush.
  • No-charge rework on material mistakes; weekly burn-down report; written approval required to exceed the cap.
  • 1099 engagement (no benefits); contractor sets methods/hours and invoices monthly.

What you'll own

  • Redlines and issues lists for Consulting/Coaching/SaaS agreements; precise Track Changes with clear rationale.
  • SaaS DSA alignment (FERPA, HIPAA/BAA basics, GLBA, SOC 2/ISO 27001 references, FOIA/open-records).
  • Template hygiene: maintain master templates and fallbacks; log concessions across deals.
  • Operational artifacts: cover sheets, confirmation letters, vendor forms/Certificates of Insurance (COIs); renewal/obligation trackers.
  • Version control and filing using our conventions across Google Drive, ClickUp, and Teamwork.
  • Executive-ready memos summarizing options and recommended positions.

Must-have experience

  • 4+ years of commercial contracts paralegal work with heavy redlining.
  • Higher ed/public sector exposure (FOIA/sovereign immunity, venue, insurance limits).
  • Data/security exhibits competency (FERPA; HIPAA/BAA basics; GLBA; security questionnaires).
  • Tools: Advanced Word (Track Changes), Adobe Acrobat, Excel/Sheets, DocuSign, ClickUp, Slack, Teamwork, Google Drive.
  • Clean, concise written communication and disciplined file hygiene.

Nice-to-haves

  • Higher-ed vendor background; CLM/e-signature workflows; ClickUp automations; Teamwork portfolios; light reporting/analytics.

Tools like Spellbook and ChatGPT are reference only. No confidential data may be entered into external AI without written approval; all output must be independently verified and conformed to our templates.
