Position: Secretary, Board of Directors

Type: Volunteer (Unpaid; expense reimbursement available)

Time Commitment: Approximately 10 hours/month

Location: Remote with occasional in-person meetings (Washington, DC)

Overview

The Secretary of the Board of Directors will provide critical governance support and ensure effective coordination between the Board and the President & CEO of CFADP. While the Secretary's role centers on organizational compliance and board administration, a key emphasis will be placed on assisting with grant acquisition and philanthropic development. This includes maintaining accurate records related to fundraising activities, coordinating documentation for grant submissions, supporting donor engagement processes, and helping to ensure the Center's long-term sustainability through sound governance practices.

Key Responsibilities of the Secretary of the Board Of Directors

Board Administration

  • Schedule, organize, and document meetings of the Board of Directors and its committees.
  • Prepare and maintain accurate minutes of all board meetings and official resolutions.
  • Track board attendance, terms, and compliance with governance policies.
  • Goals and assess the impact on the mission.

Governance and Compliance

  • Ensure the Board's actions comply with CFADP's bylaws, policies, and legal requirements.
  • Maintain and update corporate records, including bylaws, policies, and board rosters.
  • Assist in preparing and filing required legal and regulatory documents

Grant and Fundraising Support

  • Assist in compiling and maintaining records for grant applications and donor reports.
  • Help ensure compliance with grant conditions and reporting obligations.
  • Coordinate documentation and communications relevant to philanthropic development.

Qualifications

  • Bachelor's degree required; advanced degree in law, public administration, nonprofit management, or related field preferred.
  • Familiarity with grant documentation and donor engagement processes is a plus.
  • Prior involvement in nonprofit, academic, or policy-driven organizations is advantageous.
