Position Overview

Reporting directly to the Chief Financial Officer and General Counsel of J.B. Poindexter & Co., Inc., the
Director of Risk Management & Counsel
plays a vital role in the corporate support of JBPCO's business units. He/she will be responsible for the evaluation of contracts and commercial relationships to ensure compliance with legal and regulatory standards while enabling strategic opportunities. This position partners with business leaders across the organization to draft, review, and negotiate contracts that mitigate risk, and foster trusted relationships that support JBPCO's growth. In addition, the Director will ensure the company's global hazard risk profile is effectively and efficiently managed and work with the company's team of professionals, consultants and insurance brokers to obtain the proper level of insurance coverage for industry leading premiums.

Primary Responsibilities

  • Direct support of General Counsel.
  • Draft, review, and negotiate complex agreements, including vendor contracts, customer agreements, licensing arrangements, confidentiality agreements, real estate and facilities agreements, corporate governance documents, and strategic partnerships.
  • Consult on all acquisition-related insurance matters. Provide insurance coverage guidance to all areas of the Company, including lenders, leases, and third-party operators. Establish processes and procedures that ensure timely insurance renewals and reasonable premium allocations.
  • Maintain excellent communication with executive management on policy changes, coverage needs, and critical claims progress.
  • Exercise oversite of the Property & Casualty and Professional Liability programs.
  • Oversee an efficient claims administration process with the TPA.
  • Interface with property insurance brokers and carriers. Coordinate on-site risk audits by broker and carrier.
  • Develop, maintain, and scale standardized contract templates, negotiation playbooks, and workflow processes that drive efficiency, consistency, and readiness for organizational expansion.
  • Implement and manage customer-facing contract solutions and contract automation tools to enhance business alignment and efficiency.
  • Provide clear, practical, and business-focused legal advice to leaders and teams on contract rights, obligations, and risks, ensuring decisions align with JBPCO's growth trajectory.
  • Support corporate transactions, audits, due diligence, and regulatory inquiries by ensuring contract documentation is accurate, current, and readily accessible.

Knowledge and Skills Requirements

  • Strong knowledge of contract law and applicable regulatory frameworks.
  • Experience having oversight of the Property & Casualty and Professional Liability programs.
  • Experience with mergers and acquisitions, corporate governance, and real estate leases and commercial contracts.
  • Demonstrated success negotiating complex agreements with vendors, customers, and strategic partners.
  • Hands-on experience leading contract lifecycle management processes and driving process improvements.
  • Managing outside legal counsel supporting lawsuits against the company.

Experience and Qualifications

  • Requires Juris Doctor degree
    from an accredited law school; active license to practice law in at least one U.S. jurisdiction, preferably Texas.
  • Minimum of 4 years of experience practicing law, with a focus on contract drafting, corporate transactions, or commercial matters.
  • Responsibility working with internal and external professionals to structure and implement timely insurance coverage renewals.
  • Experience with maintaining and instituting corporate governance.
  • Knowledge of Tort law, insurance adjusting practices, risk management principles, and employee safety regulations and standards.
