Job Overview

• MUST have US California Bar License
• Location: Remote
• Hours: You can expect an average of about 20-40 hours/month, with some weeks requiring a significant amount of hours, while other weeks are free of hours
• Hourly Rate: $350 – $400 /hr
• Required Experience: Minimum of 8 years of experience practicing corporate law, preferably within a top-tier law firm. Candidates should have demonstrated expertise in advising venture-backed startups, including familiarity with pro forma cap table analyses, experience and knowledge with NVCA model legal documents, and experience supporting Series A and Series B financing rounds.
• Preferred: Experience with mergers and acquisitions are preferred.

Key Responsibilities:

• Provide expert legal counsel to high-growth technology startups and venture capital funds on a wide range of corporate matters.
• Draft, review, and negotiate various agreements, including investment terms, shareholder agreements, licensing agreements, and more.
• Working with venture capital investors and venture capital-backed companies in a range of matters.
• Experience working with NVCA model documents and company capitalization tables.
• Experience in the field of working with equity and debt financing, mergers and acquisitions, and capital market transactions.
• Exceptional analytical, negotiation, and communication skills.
• Advise clients on complex regulatory and compliance issues relevant to their industries.
• Conduct due diligence and manage legal aspects of mergers, acquisitions, and financing transactions.
• Collaborate closely with cross-functional teams, including senior partners, clients, and external stakeholders.

Qualifications:

• Juris Doctor (J.D.) degree from an accredited law school
• 8+ years of experience in corporate law, preferably with a focus on technology startups and venture capital.
• Advising venture-backed startups
• Familiarity with Pro Forma Cap Table analyses
• Experience and knowledge with NVCA model legal documents
• Experience supporting Series A and Series B financing rounds
• Math skills for Pro Forma Cap Table Analyses
• Strong understanding of securities laws, corporate governance, and transactional matters.
• Prior experience working with NVCA model documents.
• Experience representing venture capital investors and venture capital-backed companies in a range of matters, including equity and debt financing, mergers and acquisitions, and capital market transactions.
• Exceptional analytical, negotiation, and communication skills.
• Proven track record of providing strategic legal advice in high-pressure situations.
• Ability to work collaboratively and effectively in a dynamic, fast-paced environment.
• Technological competency and an understanding of AI utilization in workflows.
• Proficiency in Microsoft Office Suite, Adobe, online research databases, DocuSign, and relevant applications/systems.
