Technology Attorney for Corporate Transactions

We are seeking an experienced Technology Attorney to join our Corporate Counseling & Transactions Unit (CC&T) in Bloomington, IL. As a member of this team, you will advise on various technology matters, including transactions for technology services.
About the RoleThis Counsel position will focus on advising on legal issues related to vendor contracts, data security, and intellectual property ownership/licensing. You will work closely with our Enterprise Technology Department, Purchasing Department, and other business areas to allocate business and legal risks associated with vendor relationships.
The role involves significant drafting and negotiation of technology agreements, including SaaS, PaaS, technology consulting, staff augmentation, and outsourcing agreements. You will also provide counseling on allocating business and legal risks associated with vendor relationships.
Responsibilities- Advise on legal issues related to vendor contracts, data security, and intellectual property ownership/licensing
- Draft and negotiate technology agreements, including SaaS, PaaS, technology consulting, staff augmentation, and outsourcing agreements
- Counsel on allocating business and legal risks associated with vendor relationships
- J.D. from an ABA-accredited law school and excellent academic credentials
- Active license to practice law in at least one state and a member in good standing of the bar
- Ability to obtain a limited license in IL if not already appropriately licensed in IL
- 3-6 years of transactional experience, preferably with experience or acumen in the technology area
