Job Overview

We are seeking a highly skilled Corporate Paralegal to support our team on a temporary basis. This position will report to the Senior Corporate Counsel and assist the Legal Department in various aspects of corporate governance, compliance, and contract administration.

About the Role

This is an excellent opportunity for an experienced paralegal to work with a leading biotech client and contribute to their success. The successful candidate will have a strong background in corporate law, excellent analytical skills, and the ability to manage multiple projects simultaneously.

Key Responsibilities

  • Drafting Board of Directors and Committee notices, agendas, minutes, consents, and resolutions; assembling and disseminating materials to the company's Board of Directors and Committees
  • Entity Management, updating for different states
  • Assisting in other administrative matters relating to the Board of Directors, including compliance with Committee charters and Board policies, collection and coordination of Board and Committee evaluations and director and officer questionnaires
  • Assisting with stockholder meetings, including preparing written materials and coordinating with Transfer Agent
  • Managing state qualifications and filing of annual reports and licenses
  • Organizing and maintaining contracts in contracts management system
  • Developing, leading, and implementing strategic initiatives to simplify and improve contract administration process

Requirements

  • Bachelor's degree in Law or related field
  • 5-10 years of experience as a corporate paralegal

Preferred Qualifications

  • Paralegal certificate
  • Experience with both a top-tier law firm and in-house legal department
  • Knowledge of corporate governance best practices and annual compliance; prior experience working on Board materials
  • Public company experience, including Form 4 filings for Section 16 officers and directors
  • Ability and willingness to take initiative to address problems and make continuous process improvements
  • Hard working, well-organized, and detail-oriented with a sense of ownership of the project at hand
  • Ability to manage numerous projects simultaneously under deadline pressure with efficiency and accuracy
  • Superior verbal and written communication, presentation, and analytical skills
  • Ability to analyze legal documents for accuracy
  • High degree of independent analysis and judgment; ability to exercise discretion when handling confidential information
  • Ability to produce high-quality legal and professional documents consistently and expeditiously
  • Capability to deal effectively with changing and multiple priorities
  • Highly proficient with MS Word, Excel, and Power Point
  • Experience with contract management system
