The Corporate Paralegal at Girrah Group will play a pivotal role in supporting the legal team with a variety of corporate governance matters. Responsibilities will include:

  • Preparing and reviewing corporate documents such as board minutes, resolutions, and corporate filings, ensuring accuracy and compliance with regulatory requirements.
  • Conducting research and due diligence for corporate transactions and compliance matters, utilizing legal research tools and expertise.
  • Maintaining corporate records, including minute books and entity formation documents, in a secure and organized manner.
  • Assisting in the preparation of contracts and agreements, ensuring all documents comply with applicable laws and regulations, and providing guidance on best practices.
  • Supporting mergers and acquisitions by coordinating the collection of documents and information from relevant stakeholders, facilitating a smooth transaction process.
  • Liaising with external legal counsel and regulatory agencies as necessary, maintaining effective communication and relationships.
  • Performing other legal and administrative tasks as assigned to support the team's needs, demonstrating adaptability and a proactive approach.

Requirements

  • A strong background in corporate law, with experience supporting legal teams on governance and transactional matters, is essential.
  • Exceptional organizational skills, with the ability to manage multiple concurrent projects and deadlines, are crucial for success in this role.
  • Detail-oriented with excellent drafting and research abilities, the ideal candidate will possess a keen eye for detail and a commitment to quality.
  • Proficient in legal research tools and Microsoft Office Suite, the successful candidate will be able to navigate complex software systems with ease.
  • Effective communication skills, both written and verbal, to interact with internal teams and external partners, are vital for success in this role.
  • A proactive approach to problem-solving and a willingness to learn and adapt quickly in a dynamic environment are essential for this position.
