Temporary Corporate Governance Specialist

We are seeking a highly organized and detail-oriented individual to join our team as a Temporary Corporate Governance Specialist. In this role, you will be responsible for maintaining corporate governance information, updating and managing our corporate entity management database, and providing compliance support.

Key Responsibilities:

  • Organize and maintain corporate governance information, including articles of incorporation, bylaws, agendas, minutes, and resolutions.
  • Update and maintain our corporate entity management database (Diligent), ensuring accurate records of legal entities, including their state of incorporation, organizational structure, and corporate officers.
  • Assist in managing corporate entity compliance, including qualifications to do business and annual reporting.
  • Collaborate on special projects with a talented team to drive our success.
  • Support the overall maintenance of corporate records and governance.

Requirements:

  • Bachelor's degree; legal assistant or paralegal training preferred.
  • At least 3 years of experience in corporate governance within an in-house legal department or law firm, with hands-on experience managing corporate books and records.
  • Exceptional project management and organizational skills, with a passion for process improvement.
  • Proficiency in corporate entity management software, especially Diligent Entities.
  • Strong command of MS Office applications and collaboration tools (Word, Excel, PowerPoint, Outlook, SharePoint, Teams).
  • Excellent interpersonal skills for effective communication with attorneys, paralegals, senior executives, and stakeholders.
  • Ability to thrive both independently and as part of a team.
  • Strong time management skills and a commitment to maintaining confidentiality.
