About the Role

Red Hat is seeking a skilled attorney to join our Commercial Legal team in Raleigh, NC. As a Commercial Attorney, you will provide counsel and support to our Sales teams in structuring and closing deals, defining legal strategies, and addressing contractual issues. Your focus will be on achieving business results and customer success. You will work on various agreements with end customers and partners, interact with management and key business clients, and assess legal, compliance, and business risks. To be successful in this role, you will need to be inquisitive, resourceful, and creative, with a passion for technology, excellent communication and problem-solving skills, and the ability to thrive in a fast-paced, dynamic, technology and business landscape.

Key Responsibilities

• Draft, review, and negotiate software subscription agreements, professional services agreements, complex order forms, and partner agreements for resellers, distributors, systems integrators, independent software vendors (ISVs), and cloud providers
• Issue spot and collaborate with stakeholders, including sales, business units, finance, and operations teams, to resolve contractual issues
• Educate customers about open source development, licensing, and contracting, including Red Hat's subscription business model
• Serve as legal advisor and first-line support to regional sales organization for all other legal and compliance issues, and advise regional sales management regarding key issues
• Participate in compliance initiatives, including training internal clients on contracting policies, code of business conduct and ethics, and other legal issues

Requirements

• J.D. and license to practice law in any U.S. state
• 2+ years experience reviewing, drafting, and negotiating commercial contracts or complex corporate transactional agreements in a leading law firm and/or in-house supporting software and technology services; experience with open source is a big plus
• Excellent communication and writing skills, analytical abilities, and attention to detail
• Enthusiasm for technology, software, intellectual property, and/or open source
• Ability to work with minimal supervision, meet demanding deadlines in a fast-paced environment, and demonstrate sound judgment even in ambiguous situations
• Positive, can-do attitude and sense of humor

What We Offer

Red Hat offers a comprehensive compensation package, including a salary range of $94,010.00 - $150,410.00, annual salary is one component of Red Hat's compensation package. This position may also be eligible for bonus, commission, and/or equity. For positions with Remote-US locations, the actual salary range for the position may differ based on location but will be commensurate with job duties and relevant work experience.
