**Associate Counsel**

As Associate Counsel, you will play a key role on SmartBear's growing legal team by drafting, reviewing, and negotiating commercial agreements and providing thoughtful, pragmatic legal advice to business partners on a variety of issues. Your strong interpersonal skills will drive collaboration across departments to achieve key goals in a fast-paced environment. This role will report to the company's Associate General Counsel.

**About the role**

As an Associate Counsel you will:

- Draft, review, and negotiate a variety of agreements, including master services agreements, consulting/professional services agreements, software license agreements, cloud software agreements, data processing agreements, amendments, and NDAs.
- Advising the business on contract interpretation, issues, risks and negotiating strategies, with pragmatic, business-minded guidance.
- Ensure continuity and improvement in the quality, efficiency, and effectiveness of contracting processes and procedures.
- Catalog vendor agreements, manage in repository and identify and track key terms.
- Review RFI/RFP/supplier onboarding requests and refine answers in RFP software response tool. Support the company in the evolution of its compliance program.
- Collaborating with finance, product, marketing, and other departments to achieve key business objectives. - Assist with corporate projects as needed for matters such as M&A, corporate governance, etc.
- Providing other support to the legal team as requested.

**We are looking for you if you have**:

- 1-3 years as a commercial attorney drafting, reviewing and negotiating a broad range of commercial agreements, preferably at a technology company.
- Precise technical contracts knowledge with the ability to draft and articulate positions practically and effectively.
- Strong critical thinking abilities, strong business acumen and excellent business judgment independently.
- Excellent verbal and written communication skills with ability to distill complex issues clearly and communicate well both one-on-one and in groups and in internal and external contexts. - Top tier customer service working through agreements with and responding to inquiries from internal clients.
- Meet department service levels and compliance with department requirements.
- Eagerness to work in a generalist capacity and contribute to a wide range of in-house legal matters.
- Manage multiple priorities, and pivot between responsibilities in a fast-paced, high-growth environment.
