In this position, you will oversee and be responsible for licensing, entity registrations, compliance, risk management, litigation, and contractual affairs for System Pavers. You will play a critical role in the Company’s existing business and growth as it expands nationally.
The Vice President, Legal and Business Affairs will serve as the senior most corporate legal executive for System Pavers for the foreseeable future with opportunity for advancement. **Responsibilities**:
- Manage corporate entity registrations and compliance for System Pavers and all affiliated entities in local and state jurisdictions nationally.
- Review, update, negotiate and process a variety of agreements/templates, including customer contracts, subcontractor agreements, professional services agreements, NDAs, leases, etc.
- Organize and manage System Pavers’ ongoing contractor licensing/certifications.
- Develop and maintain a process for ensuring compliance by subcontractors to System Pavers’ operating and contractual requirements.
- Support the Company’s risk management needs (insurance, compliance processes, health & safety, etc.)
- Lead litigation matters for the Company, including customer disputes, contract enforcement, regulatory probes, and labor & employment related issues.
- Manage outside legal counsel in such matters while minimizing external costs.
- Develop and execute strategy for corporate entity structure, corporate policies, and regulatory filings.
- In partnership with other members of System Paver’s senior management, identify and remediate training gaps on legal matters relevant to employees’ roles and responsibilities.
- Protect the company’s intellectual property through trademarks, copyrights, and trade secrets.
- Identify, research, analyze and advise on other legal matters that may arise and communicate effectively on them to stakeholders.
**Qualifications & Skills**:
- Minimum of four (4) years of corporate legal experience from a regionally or nationally recognized law firm or in-house corporate legal department.
- Juris doctorate from a highly regarded US law school required.
- Admitted to practice in the US (CA preferred, but other major state would suffice) and in good standing.
- Experience with residential construction related industries preferred.
- Experience with direct-to-consumer and/or consumer facing products and services a plus.
- Strong commercial sense and ability to exercise good business judgment is critical; the VP, Legal and Business Affairs is expected to develop a thorough understanding of System Pavers’ business and be able to quickly assess situations and objectives to balance legal risks with desired business outcomes.
- Superior analytical and organizational abilities, with a creative and pragmatic problem-solving approach.
- Outstanding communication skills (verbal and written); be articulate, engaging, poised and confident with the ability to interact with a variety of internal constituents, business partners, customers, regulators and other attorneys.
- Excellent legal skills, including experience structuring, drafting, reviewing and negotiating a variety of commercial agreements.
- Strong commitment to providing responsive, timely and top-quality client service with superior work product.
- Ability to operate autonomously in a highly organized manner and multi-task as necessary.
- Strong negotiation skills with experience in mediation, arbitration, and other dispute resolution.
