POSITION TITLE: Paralegal

REPORTS TO: General Counsel

Location: Rockville, MD (hybrid- 1 day in office)


Overview: As a Legal Recruiter working closely with a reputable nonprofit organization based in Rockville, we are currently seeking a skilled Corporate Paralegal to join their legal team. This position offers a primarily remote work arrangement with an in-office requirement once a week. The position reports directly to the General Counsel.


Responsibilities:

Contract Drafting and Negotiation:

  • Collaborate with legal team members to draft, review, negotiate, and redline various contracts and agreements.
  • Ensure all contracts comply with legal requirements and organizational policies.
  • Assist in developing and maintaining standard contract templates.

Compliance:

  • Support the legal team in monitoring and ensuring organizational compliance with applicable laws and regulations.
  • Contribute to the development and implementation of compliance policies and procedures.
  • Conduct regular audits to ensure ongoing compliance.

Litigation Management:

  • Provide support in managing litigation and dispute resolution processes.
  • Coordinate with outside counsel and assist in managing discovery processes.
  • Maintain and organize litigation files and documents.

Employment Agreements and Investigations:

  • Assist in drafting and reviewing employment agreements and related documents.
  • Participate in conducting internal investigations related to employment matters.
  • Provide support in addressing employee-related legal issues.

Corporate Governance:

  • Contribute to the preparation and maintenance of corporate records and governance documents.
  • Support the organization of board meetings, including preparing agendas and minutes.
  • Ensure compliance with corporate governance policies and procedures.


Qualifications:

  • Bachelor’s degree or Paralegal Certificate from an ABA-approved program.
  • Minimum of 3 years of experience as a Corporate Paralegal.
  • Experience in healthcare and/or non-profit sectors is preferred.
  • Strong understanding of contract law, compliance, and corporate governance.
  • Excellent drafting, negotiation, and redlining skills.
  • Strong organizational and project management skills.
  • Excellent written and verbal communication skills.
  • Proficiency in legal research and legal document management software.

Skills:

  • Detail-oriented with strong analytical skills.
  • Ability to work independently and collaboratively as part of a remote team.
  • Strong problem-solving skills and the ability to manage multiple tasks effectively.
  • High level of professionalism and confidentiality.
