Responsibilities:

·      Consultations & Client Services: Provide strategic legal advice to business owners, partners, and entrepreneurs.

·       Transactional Work: Handle day-to-day transactions, including:

  • Entity formation, structuring, and amendments.
  • M&A transactions and entity restructuring.
  • Draft, review, and negotiate contracts (customer/vendor, employment, etc.).
  • Draft operating agreements, buy-sell agreements, and governance documents.

·       Pre-Litigation & Dispute Resolution:

  • Manage pre-litigation disputes through demand letters and negotiations to resolve matters efficiently without litigation.

·      Advisory Work: Provide proactive counsel to business clients on regulatory, employment law, and compliance matters.

·      General Counsel Services: Act as an extension of the client’s leadership team by supporting their growth, risk management, and operational needs.

·      Technology & Innovation: Utilize tech-forward tools to optimize workflow, enhance productivity, and improve client service.

·      Estate Planning Assistance: Collaborate with our estate planning team on business-related estate matters when needed.


Qualifications:

·      Juris Doctor (J.D.) degree from an accredited law school.

·      Active license to practice law in Arizona.

·       Strong expertise in business law, including:

  • Contract drafting, review, and negotiation.
  • Corporate governance, M&A, employment law, and compliance.

·      Exceptional communication skills, capable of explaining legal concepts to non-legal audiences.

·      Problem-solving mindset with practical legal strategies aligned with clients’ goals.

·      Proven negotiation and drafting skills, with high attention to detail.

·      Ability to manage multiple priorities independently, in a fast-paced environment.

·      Experience in providing strategic, proactive legal advice to business clients.

·      Collaborative team player with excellent interpersonal skills.

·      Commitment to confidentiality and ethical practices
