We are seeking an experienced and proactive Assistant Vice President (AVP) Contract Manager to join our clients Sourcing and Procurement team. This key leadership role will take accountability for managing supplier contracting processes, ensuring alignment between procurement and legal teams, and facilitating the contract negotiation process. The AVP Contract Manager will be responsible for supporting the development, execution, and management of supplier contracts, with a focus on collaboration, risk mitigation, and ensuring compliance with organizational policies. Experience with Contract Lifecycle Management (CLM) tools, especially Ironclad, is highly preferred.

Key Responsibilities:

Supplier Contract Management:

  • Oversee and manage the end-to-end supplier contracting process, from contract creation to execution, ensuring compliance with organizational policies and legal requirements.
  • Collaborate closely with the Sourcing and Procurement team to understand business needs and ensure that supplier contracts align with the company’s objectives and operational requirements.
  • Lead the drafting, reviewing, and negotiating of supplier contracts, ensuring they are clear, comprehensive, and mitigate risks while protecting the organization’s interests.
  • Manage the contract redlining process in partnership with the Legal department, ensuring that all terms and conditions are addressed promptly and thoroughly.

Collaboration with Legal Department:

  • Serve as the primary point of contact between Sourcing/Procurement and Legal teams to facilitate contract negotiations, revisions, and approvals.
  • Work with the Legal team to ensure that all contractual terms are in line with company policy, regulatory standards, and industry best practices.
  • Proactively manage the redlining process, ensuring that any issues or changes are addressed in a timely and efficient manner, and that final agreements are aligned with both legal and procurement objectives.

Contract Lifecycle Management (CLM):

  • Lead the implementation and management of Contract Lifecycle Management (CLM) processes and systems, particularly Ironclad, to ensure streamlined and efficient contract workflows.
  • Utilize CLM systems to track contract status, manage renewals, monitor compliance, and store contract documentation securely.
  • Ensure the system is effectively utilized for contract creation, negotiation, tracking, and reporting, including ensuring adherence to SLAs and contract timelines.

Leadership & Team Support:

  • Provide leadership, guidance, and support to the Sourcing and Procurement team in navigating the contract management process and ensuring effective execution.
  • Train and mentor junior staff members on best practices in contract management, negotiation, and compliance.
  • Foster a collaborative environment between Sourcing, Procurement, and Legal departments to ensure alignment on contract objectives and deliverables.

Risk Mitigation & Compliance:

  • Ensure all supplier contracts meet compliance standards, including company policies, legal requirements, and industry regulations.
  • Identify potential risks in supplier contracts, such as unfavorable terms or compliance issues, and work to resolve them proactively.
  • Develop and implement processes for ongoing contract monitoring to ensure adherence to contractual obligations and mitigate any risks of non-compliance.

Continuous Improvement:

  • Drive continuous improvement in the contracting process by identifying bottlenecks, inefficiencies, or areas for enhancement.
  • Implement process improvements to increase the speed, accuracy, and effectiveness of the contract negotiation and execution process.
  • Stay current with industry trends, legal updates, and procurement best practices to inform and improve contract management processes.

Reporting & Stakeholder Communication:

  • Provide regular updates and reports on contract status, supplier negotiations, and any contractual issues to senior leadership.
  • Prepare and present key metrics on contract performance, compliance, and any identified risks or opportunities for improvement.
  • Communicate effectively with internal stakeholders to ensure alignment on contract objectives and timelines.


Qualifications:

  • Bachelor’s degree in Business Administration, Supply Chain Management, Law, or a related field. JD or relevant certifications (e.g., Certified Professional in Supply Management – CPSM, or Contract Management certification) is a plus.
  • Minimum of 8-10 years of experience in contract management, sourcing, or procurement, with at least 4 years in a leadership role overseeing supplier contracting processes.
  • Extensive experience collaborating with legal teams, specifically in contract negotiation, redlining, and compliance.
  • Strong experience with Contract Lifecycle Management (CLM) platforms, with Ironclad experience strongly preferred.
  • In-depth knowledge of procurement and contract management processes, including contract law, supplier risk management, and compliance.
  • Excellent negotiation, communication, and interpersonal skills, with the ability to work cross-functionally with procurement, legal, and business teams.
  • Proven track record of managing supplier contracts, identifying potential risks, and mitigating them through strong contract terms and conditions.
  • Strong leadership and mentoring skills with a focus on team development and fostering collaboration across departments.
  • Exceptional attention to detail and the ability to manage multiple complex contracts simultaneously.
  • Strong organizational and problem-solving skills, with the ability to handle competing priorities and deadlines.
